Terms of Service

DayaMed operates both as a healthcare technology provider and, where applicable through its affiliated clinical entities (including DayaMed Health Associates), as a provider of virtual care management, remote patient monitoring (RPM), chronic care management (CCM), telehealth, advanced primary care management (APCM), and care coordination services. Depending on your onboarding structure, your agreement may encompass both the technology platform and the telehealth services delivered by our licensed practitioners.

You must be at least 18 years old, or have express authorization from a parent, legal guardian, or your healthcare provider, to use our Services.

You agree to:

• Provide accurate, current, and complete information during registration and use of the Services.
• Keep your contact information, including your mobile phone number, up to date.
• Maintain the strict confidentiality of your account credentials.
• Promptly notify DayaMed if you suspect your account has been compromised.

You are solely responsible for all activity occurring under your account.

You agree not to:

• Reverse-engineer, decompile, or disrupt the integrity or performance of the Services.
• Use the Services for any fraudulent, unlawful, or abusive purposes.
• Introduce malware, viruses, or harmful code into DayaMed's systems.
• Intentionally tamper with any virtual care management device or technology provided to you.
• Transmit or allow to be transmitted the health data of any individual other than your own.

By providing your contact information, you authorize DayaMed and your healthcare provider to communicate with you regarding your care using phone calls, email, patient portal notifications, or SMS text messages, where applicable and where you have provided appropriate consent.

These communications may include:

• Appointment reminders and enrollment updates
• Care coordination and remote patient monitoring notifications
• Medication reminders
• Device onboarding and customer support communications

If you voluntarily opt in to receive SMS messages from DayaMed, the following terms apply.

• Program Description: DayaMed sends customer care and healthcare-related SMS messages (such as device onboarding, medication tracking, and RPM notifications). These messages are strictly clinical or operational and are not promotional or marketing messages.
• Consent: Your consent to receive SMS messages is strictly voluntary and is not a condition of receiving healthcare services or participating in any DayaMed program. If you choose not to receive text messages, you may still receive healthcare services through telephone calls, email, or the patient portal.
• Message Frequency: Message frequency varies depending on your specific care plan and interactions with your healthcare provider.
• Message & Data Rates: Message and data rates may apply according to your wireless carrier's plan.

Your use of the Services is also governed by our Privacy Policy.

Because DayaMed provides remote care management and technology solutions to clinical partners, certain data you provide may constitute Protected Health Information (PHI) under the Health Insurance Portability and Accountability Act (HIPAA). When handling PHI, DayaMed operates strictly as a Business Associate to your healthcare provider. Consequently, the handling, storage, and sharing of your PHI is primarily governed by your specific healthcare provider's Notice of Privacy Practices (NPP).

All content, software, software code, logos, trademarks, graphics, and technical materials available through the Services are the sole property of DayaMed or its licensors and are protected by applicable intellectual property, copyright, and trademark laws.

The Services are provided to facilitate communication and care coordination between patients and healthcare providers. The Services are provided on an "as-is" and "as-available" basis. DayaMed does not guarantee uninterrupted, secure, or error-free access to the Services. DayaMed and its healthcare providers are not responsible for data transmission delays, inaccuracies, or failures caused by internet service providers, wireless carriers, or third-party telecommunications systems.

To the fullest extent permitted by applicable law, DayaMed, its officers, directors, and employees shall not be liable for any indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with your use of the Services. Nothing in these Terms limits rights or liabilities that cannot be excluded or limited under applicable law.

These Terms and any disputes arising out of your use of the Services shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles.

Any legal action, suit, or proceeding arising out of or relating to these Terms shall be instituted exclusively in the state or federal courts located in Washoe County, Nevada, and you hereby consent to the personal jurisdiction of such courts.

DayaMed reserves the right to update or modify these Terms periodically. Continued use of the Services after updates become effective constitutes your explicit acceptance of the revised Terms.
